  General Terms and Conditions of Use of the Afridora Marketplace for Buyers and Vendors/Sellers  

These Terms of Use (the “Terms”) constitute a binding and enforceable legal contract between Afridora Online Marketplace, its affiliated companies (together, the “ Administrator ”, “ we ”, “ us ”) and you. Please read these Terms and conditions very carefully.  

Introduction  

  • “Afridora” is the trading name for AFridora Enterprise   


These general terms and conditions shall apply to buyers and sellers on the marketplace and shall govern your use of the marketplace and related services.    

By using our marketplace you accept these general terms and conditions in full. If you disagree with these general terms and conditions or any part of these general terms and conditions you must not use our marketplace.  

Registration and account  

Use of Afridora website is available only to persons who can form legally binding contracts as per their country governing laws. If you are a minor below 16 to 18 years as the case may be with respect to your country governing laws, you shall not register as a member of Afridora and shall not transact or use Afridora website. As a minor if you wish to use or transact on Afridora, such use or transaction may be made by your legal guardian or parents who have registered as users of Afridora. Afridora reserves the right to terminate your membership and refuse to provide you with access to Afridora if it is brought to Afridora@s notice or it is discovered that you are not within the age for the use.  

If you use our marketplace in the course of a business or other organizational project then by so doing you:  

  • Confirm that you have obtained the necessary authority to agree to these general terms and conditions;  
  • bind both yourself and the person company or other legal entity that operates that business or organizational project to these general terms and conditions; and  
  • agree that you in these general terms and conditions shall reference both the individual user and the relevant person company or legal entity unless the context requires otherwise.  


If you register on our marketplace you will be asked to provide an email address/user ID and password and other information like shipping and billing address etc  and you agree to:  

  • keep your password confidential;  
  • Notify us in writing immediately if you become aware of any disclosure of your password or change your password; and  
  • be responsible for any activity on our marketplace arising out of any failure to keep your password confidential and that you may be held liable for any losses arising out of such a failure.  
  • Your account shall be used exclusively by you and you shall not transfer your account to any third party. If you authorize any third party to manage your account on your behalf this shall be at your own risk.  
  • We may suspend or cancel your account and/or edit your account details at any time in our sole discretion and without notice or explanation providing that if we cancel any products or services you have paid for but not received and you have not breached these general terms and conditions we will refund you in respect of the same.  
  • You may cancel your account on our marketplace by contacting us  
  • You agree that Afridora  is just a platform availing you the opportunity of buying securely without fear of being scammed as a buyer and enabling you as an online vendor the opportunity of selling your goods to genuine buyers  

Terms and conditions of sale  

  • You acknowledge and agree that:    

     

the marketplace provides an online location for vendors to sell and buyers to purchase products;  

we shall accept binding sales on behalf of sellers but (unless Afridora is indicated as the seller) Afridora is not a party to the transaction between the seller and the buyer; and  

a contract for the sale and purchase of a product or products will come into force between the buyer and seller and accordingly you commit to buying or selling the relevant product or products upon the buyer’s confirmation of purchase via the marketplace.    

Subject to these general terms and conditions the seller’s terms of business shall govern the contract for sale and purchase between the buyer and the seller. Notwithstanding this the following provisions will be incorporated into the contract of sale and purchase between the buyer and the seller:  

  1. the price for a product will be as stated in the relevant product listing;  
  2. the products sold through the platform are not stolen or contrabands as per the law of the country  
  3. the price for the product must include all taxes and comply with applicable laws in force from time to time;  
  4. the price for the product may include Afridora commission as the seller/vendor deem fit   
  5. delivery of orders shall be undertaken by vendor and Afridora will not be held liable for default in delivery  
  6. delivery charges, packaging charges, handling charges, administrative charges insurance costs other ancillary costs and charges where applicable will only be payable by the buyer if this is expressly and clearly stated in the product listing; and delivery of digital products may be made electronically;  
  7. products must be of satisfactory quality fit and safe for any purpose specified in and conform in all material respects to the product listing and any other description of the products supplied or made available by the seller to the buyer; and  
  8. in respect of physical products sold the vendor warrants that the vendor has good title to and is the sole legal and beneficial owner of the products and/or has the right to supply the products pursuant to this agreement and that the products are not subject to any third party rights or restrictions including in respect of third party intellectual property rights and/or any criminal insolvency or tax investigation or proceedings; and in respect of digital products the seller warrants that the seller has the right to supply the digital products to the buyer.  



 

Dispute and Dispute Resolution  

Any dispute as a result of order made shall first be settled amicably between buyer and vendor.

In event an agreement can not be reached by both parties, the buyer is required to open a dispute using the Ticket system in the customer dashboard.

Afridora shall do their best to intervene in the best non-partial way knowing that buyer is king and both parties agree to the settlement of Afridora as been final.

 

Cancellation  

Cancellation will be accepted when it is proven without any doubt that the vendor didn't ship the order.  

Cancellation is not allowed because you changed your mind.

Cancellation of order is not allowed on Afridora marketplace once an order is placed and  payment is made except where the vendor didn't deliver the order.  

Please ensure you are ready to complete the transaction before payment. This is because Vendors are in charge of their shipment and you can not cancel an order that vendor has received and  began delivery arrangement on.  

Cancellation will be accepted when it is proven without any doubt that the vendor didn't ship the order.  

Cancellation will be honored within a maximum of 7 work days of no trackable waybill from the Vendor or delivery of items as may be stated by the vendor delivery days timeline  

Returns and Refunds Policy  

  • Returns of products by buyers and acceptance of returned products by sellers shall be managed by the seller in accordance with the return policy on the marketplace as may be amended from time to time. Acceptance of returns shall be at the vendor’s discretion subject to compliance with applicable laws of the territory.    

     
    1. by way of bank transfers or such other methods as we may determine from time to time.  
    2. once it is evident that the seller didn’t deliver  
    3. bank charges and incurred gateway charges maybe deducted on refunded amount  



Returned products shall be accepted by vendor as per settlement agreement between buyer and vendor and refunds will be issued by Afridora for and on behalf of the seller once a settlement agreement and amount is reached by both parties and communicated to Afridora.   

 

Buyer shall confirm delivery within 24hrs of receipt otherwise the fund will be paid to the Vendor  not more than 7days after confirmed delivery.  

Changes to our returns page or refunds page shall be effective in respect of all purchases made from the date of publication of the change on our website and may be updated from time to time as we deem fit.  

 

Payments  

The default currency on Afridora is Naira for Nigeria resident buyers and USD for international buyers or as may be agreed by the seller/vendor separately for order placement.  

You must make payments due under these general terms and conditions in accordance with the Payments Information and Guidelines on the marketplace.  

 

Payments made are placed on lien, escrowed, held on behalf of both parties until successful transaction.  

 

Payments are made through the secured payment gateway available at checkout for card transactions or via bank transfer.  

 

Call in order and payment is also acceptable for international buyers.  

 

Buyer is expected to transact with vendors through the Afridora marketplace from time to time. We shall not be made liable to refund any fraud encountered from paying to a vendor outside of Afridora platform even if the vendor was found on Afridora. Ensure you pay through the platform each time you   

transact with new or old vendors.  

 

Sales/purchase of goods activities (rules/regulation) for Vendor and Seller  

By using our platform, the vendor agrees to honestly deal with the buyer by including where available the true description of goods, size, condition, color, dimensions etc as it may be the case and post products or goods that are readily available and indicate when out of stock to prevent ordering and payment for out of stock goods.  

 

Any order on out of stock goods leading to a refund will result in a penalty to the vendor of up to 20% of the order amount or maximum of N5000 which ever is seen as fit for the situation.  

 

No fraudulent inaccurate description, deception as the case may be will be tolerated.  

 

Seller shall ensure to make use of logistic partners with trackable waybills and shall make such waybills or tracking numbers are made available to the buyer and if using any other medium of delivery shall ensure to follow up and keep the buyer informed of all necessary details that prove the order to be in transit to the buyer .

Seller is advised to use logistics that have good insurance policy in case of damage or loss of goods.

Seller is advised to use official way billing system to enable tracking of items sent.

Any such violation tantamount to suspension of account till otherwise proven.  

 

Buyer agrees to complete all transactions on Afridora to prevent any loss or problems of delivery at each point in time. Any transaction done with any vendor outside of Afridora platform shall be at the risk of the buyer or seller as the case may be.  

On Afridora, this sales of goods activity is binding for users of the marketplace to ensure smooth runing of the market. 

Vendor must ensure to be transparent in their product listing by letting the buyer know in the description the exact item they are to expect. If selling used items, state if it has any flaws. If selling brand new items state exactly the way it is do not magnify the picture to deceive the buyer.  

Use standard or traditional measurement to describe size of products where possible to prevent what i ordered versus what i got leading to return of item. 

Vendor must ensure to keep the buyer informed with pictures and updates on delivery whether by mail or phone number. 

Vendor must ensure to follow up on the buyer to pick up item delivered and provide solution in event buyer is or was not available to pick up. Remember that until the buyer confirms delivery there is no payment released to you. So communication is required.

 On Afridora buyer can not cancel an order that has been confirmed by admin or vendor because the vendor takes care of the delivery and it might have shipped so buyer must ensure he is ready to complete the transaction before placing an order.

Buyer must ensure that he or she picks up the items delivered in time and if not available, designate a verifiable privy to do the pickup or as agreed by both parties to prevent loss of item.

Buyer must ensure to be honest in their dealings and should not use this platform as a means of defrauding genuine vendors with dishonest statements.

Buyer is expected to ensure the description matches their needs before placing an order. 

Products Listing  

Any kind of lawful product categories can be listed on the marketplace provided you have the government required license to sell such products and you accept our escrow system. It can be digital or physical products, goods, services including but not limited to physical products in health and beauty, home appliances, agricultural produce, automobile and car parts, fashion, services and many more.   

 

These products are expected to be high definition images, pictured in white background without edit or fine tuning to the point of deception.  

 

The products must be listed with every description that will enable buyers to make informed decisions to purchase without requesting a refund or opening a dispute due to inaccurate description, buyer is king on Afridora.  

Vendor can list unlimited products on the marketplace. 

Vendor must adhere to acceptable sales of goods activities as stated on the marketplace  

 

Charges  

Afridora charges for use of the marketplace in the form of commission of up to 8%.No monthlyor yearly subscription. These charges are borne by the vendor and in event of a refund a buyer may be charged for the bank charges. These charges are reviewed from time to time to enable us to serve you better.  

 

Penalty  

Vendors are expected to ensure they have what is displayed in the listing to prevent cancellation of order and refund.. If a buyer cancels an order and asks for refund, the vendor agrees to pay a penalty fee of 20% of the refunded amount and such fee shall be deducted from any accruing withdrawal initiated by the vendor any reoccurrence of such tantamount to suspension and removal of such a vendor store without prior notice and Afridora shall not be liable for any loss of files, money, images as the case maybe.  

 

  Delivery information  

Subject to the terms and conditions, Afridora marketplace’s Vendors shall handle their deliveries themselves and post updates on deliveries on the platform or any where made available for such.  

 

  Dispute and Dispute Resolution  

Subject to the terms and conditions, disputes arising between a vendor and buyer would first be resolved between them and agreement reached for return or refund as the case may be. Who pays for delivery return is agreed by both parties and Afridora is not a part of such dispute resolution.  

 

In the event that resolution could not be reached by both parties, and they need Afridora to help resolve their dispute, then, Afridora shall come in to help resolve the dispute.   

 

To notify us, the buyer will fill the online form available for the order in question.  

 

A non-delivery of an item is not disputable by the vendor unless it is proven that the item has been shipped but having delays from the delivery partner. This excuse can only be accepted for 14days after which the buyer’s request will be granted.  

 

Both parties agree to accept the resolution of Afridora and if not satisfied can seek another third party to help resolve it.  

 

Payment withdrawal/refund will not be granted  on disputed order until resolved by both parties.  

 

Exports  

Afridora platform allows vendors to post their export based commodities or products for sale provided they have the relevant documents to back their trade. Buyers can purchase such products provided they transact safely with our escrow buyer protection system.  

 

 

Indemnification of Afridora  

 

You agree to, and shall, without limitation or exception, indemnify, defend, and hold harmless MochaHost.com and its subsidiaries, affiliates, officers, agents, co-branders, partners, and employees from and against any claim, demand, action, damages, liability, loss, costs, or expenses, including reasonable attorneys’ fees, due in whole or in part to any breach or violation of this Agreement, including, but not limited to:  

  • any of the events described in this Agreement;  
  • any breach of this Agreement by you;  
  • any information or data loss that you submit, post, transmit, or receive as a part of any service offered by Afridora;  
  • your use of any service offered by Afridora  
  • your violation of any third party rights or governing laws; or  
  • any act or omission by you or your agents.  

The buyer agrees to be responsible for any loss encountered while using the platform as Afridora is a free to use platform for online vendors that meet the criteria for use and we do not know the vendors.  

Buyers agree to stick to the safety rules of the platform in order to get 100% protection and once delivery is confirmed by the buyer, Afridora can not be held liable for any dissatisfaction or loss.  

 

DECLARATION  

1. You hereby declare that you have provided all necessary legal delivery details for the shipment of the product to the destination specified by you in the order details.  

2. You further declare that the product will be acquired for personal use of the consignee and Afridora will not be held liable for any loss or dissatisfaction after you have confirmed delivery
